These Terms and Conditions (“Terms”) govern your access to and use of akembio.com and any related pages, features, accounts, communications, products, and services operated by Doomwell, LLC under the AKEM brand (collectively, the “Site”). In these Terms, “AKEM,” “we,” “us,” and “our” refer to Doomwell, LLC.
Please read these Terms carefully before using the Site or placing an order. By accessing the Site, creating an account, selecting an acknowledgment box, or placing an order, you agree to these Terms, our Privacy Policy, Research Use Policy, Shipping Policy, and Returns and Refunds Policy. If you do not agree, do not use the Site or purchase products.
1. Eligibility and Authority
You may use the Site only if you are at least 21 years old, have reached the age of legal majority where you live, and are legally capable of entering a binding contract. If you use the Site for a company, laboratory, institution, or other organization, you represent that you have authority to bind that organization to these Terms.
The Site and its products are intended only for qualified purchasers who are regularly and lawfully engaged in nonclinical laboratory research, chemical analysis, or physical testing, or who are authorized to purchase for an organization engaged in that work. We may request information reasonably necessary to verify eligibility, authority, research intent, identity, payment, shipping information, or legal compliance. We may decline, suspend, or cancel access or an order when we cannot complete verification or reasonably suspect prohibited use, fraud, diversion, or legal risk.
2. Research Use Only
Unless a product page expressly states otherwise, every product offered by AKEM is supplied strictly for controlled laboratory research and analytical testing. Products are not intended for human or veterinary use, administration, consumption, implantation, injection, ingestion, topical application, diagnosis, treatment, cure, mitigation, or prevention of any disease or condition.
Products are not represented as drugs, medical devices, foods, food additives, dietary supplements, cosmetics, household products, or veterinary products. Products may not be used in clinical care, patient management, self-experimentation, personal use, or any activity that violates applicable law.
Unless a product page expressly identifies a specific applicable authorization, AKEM products have not been approved, cleared, or authorized by the U.S. Food and Drug Administration for human or veterinary use. The phrase “research use only” is a restriction on AKEM’s stated distribution and use; it is not a representation that a product, purchaser, transaction, or protocol is exempt from every applicable law.
You agree to comply with the complete Research Use Policy incorporated into these Terms. A “Research Use Only” label does not authorize an otherwise unlawful use and does not transfer AKEM’s restrictions into permission for clinical, therapeutic, or personal use.
3. Purchaser Representations
By placing an order, you represent and warrant that:
- you are purchasing solely for lawful laboratory research or analytical testing
- products will be received, stored, handled, used, transferred, and disposed of only by appropriately trained personnel in a controlled environment
- you have reviewed available product identity, batch, safety, and handling information before purchase
- you will not use or permit use of any product in or on humans or animals
- you will not use any product as a drug, food, supplement, cosmetic, diagnostic, medical device, or household product
- you will not use any product to affect the structure or function of a human or animal body
- you will not resell, redistribute, relabel, repackage, or transfer a product for a prohibited purpose
- you will comply with all laws, regulations, institutional requirements, permits, and safety rules that apply to your purchase and work
- all information you provide to AKEM is accurate, current, and complete.
4. No Medical or Professional Advice
The Site does not provide medical advice, diagnosis, treatment recommendations, prescribing information, dosing, administration instructions, reconstitution instructions for personal use, or advice for human or veterinary application. Product names, identifiers, links, scientific references, educational material, and third-party publications are provided only to identify materials and support lawful laboratory documentation. They are not instructions or encouragement for personal, clinical, therapeutic, or veterinary use.
Do not use Site content to make a health decision. Questions about medical conditions or treatment must be directed to an appropriately licensed healthcare professional. AKEM customer support will not answer questions about dosing, administration, injection, ingestion, personal use, or expected effects on a person or animal.
5. Product Information and Availability
We work to present accurate product names, strengths, identifiers, prices, images, inventory, and documentation. Product information may be corrected or updated when a supplier document, independent laboratory report, regulatory requirement, or internal review identifies a discrepancy. Images are illustrative unless the page expressly identifies them as the exact lot or package being sold.
Availability is not guaranteed. We may place a product or batch on hold, restrict access, limit quantity, correct an error, change a price, or discontinue an item without prior notice. A product appearing on the Site does not guarantee that it is available for immediate shipment or lawful to purchase in every jurisdiction.
6. Certificates of Analysis and Batch Documentation
When AKEM publishes a Certificate of Analysis (“COA”), the document applies only to the product, batch or lot, sample, and tests identified on that COA. Results from one batch do not establish the composition or performance of another batch. A COA is analytical documentation; it is not evidence that a product is safe or effective for human or veterinary use and is not regulatory approval.
Do not rely on a COA that does not match the batch or lot printed on the product. Contact support if a product and its linked documentation do not match.
7. Accounts and Site Security
You are responsible for safeguarding your login credentials and for activity conducted through your account. Notify us promptly if you believe an account or order has been accessed without authorization. You may not share restricted-access credentials, access codes, or private product links with an unauthorized person.
You may not probe, scan, disrupt, reverse engineer, scrape at a rate that impairs the Site, bypass access controls, introduce malicious code, use another person’s identity, interfere with checkout, or attempt unauthorized access to any account, system, private catalog record, or data.
8. Orders and Acceptance
Submitting an order is an offer to purchase under these Terms. An automated acknowledgment does not mean that we have accepted the order. We accept an order when payment and any required verification are completed and the order enters fulfillment. We may refuse, place on hold, limit, or cancel an order before shipment for inventory, payment, identity, compliance, suspected misuse, fraud, pricing error, carrier, legal, or operational reasons.
If we cancel a paid order before shipment, we will return the amount received for the canceled item or order using the original or another lawful refund method, subject to processing time outside our control.
9. Prices, Promotions, and Taxes
Prices are shown in U.S. dollars and may change before an order is accepted. AKEM uses one retail product price per variant unless a temporary promotion is clearly disclosed. Membership does not create a permanent product-price discount unless a specific temporary offer states otherwise.
You are responsible for applicable sales, use, excise, customs, import, or similar taxes and charges. We will collect sales tax where we are registered and legally required to do so. Tax is calculated from the destination, product classification, exemptions, and other information available at checkout. A purchaser claiming exemption must provide valid documentation before the sale is completed.
9A. Membership Shipping Benefit
When AKEM offers an active membership plan, the enrollment page and checkout disclosure will state the plan price, term, renewal, cancellation, refund, and activation rules. A membership is active only after payment clears and the authoritative membership system records an active status. Unless a separate temporary offer expressly states otherwise, membership does not change product prices.
The approved shipping benefit is free Priority Shipping when eligible physical-product merchandise totals more than $100.00 after discounts and before tax and shipping. Membership fees, gift cards, tax, shipping, handling, and nonmerchandise charges do not count. A membership purchased in the same cart does not apply to that cart. The benefit ends when a membership expires, is canceled, refunded, paused, past due, or suspended and does not apply to expedited service.
10. Payment
You authorize AKEM and its payment providers to charge the selected payment method for the full order total. Card information is processed by third-party payment providers; AKEM does not intend to store complete payment-card numbers on its own systems.
When Cash App, Venmo, or another manual electronic-payment method is available, the order remains pending until AKEM independently verifies receipt of the exact amount. Follow only the payment instructions generated for the specific order. Include only the requested order reference in the payment note. A screenshot, message, or customer-submitted confirmation does not prove settlement. AKEM will not ship an unpaid or unverified order.
Third-party payment services operate under their own terms and privacy practices. AKEM is not responsible for their account restrictions, processing delays, reversals, or service interruptions.
11. Shipping and Delivery
Shipping options, charges, eligibility rules, processing periods, and geographic limits are stated in the Shipping Policy and at checkout. Delivery estimates begin after carrier acceptance and are not promises that an order will arrive on a particular date unless the carrier service purchased and the checkout confirmation expressly provide a guarantee.
You are responsible for entering a complete and accurate delivery address. Contact support immediately if an address is incorrect; we cannot guarantee changes after fulfillment begins. Risk associated with carrier delay, weather, service disruption, incorrect address, or delivery conditions will be handled under the Shipping Policy and applicable law. Nothing in these Terms eliminates rights that cannot lawfully be waived.
12. Returns, Replacements, and Refunds
Because product identity, storage history, environmental exposure, and chain of custody cannot be verified after shipment, change-of-mind returns are not accepted. Cancellation, damage, incorrect-item, missing-item, defect, and carrier-claim rules are stated in the Returns and Refunds Policy.
Do not return a product without written authorization. Unauthorized returns may be refused and, when required for safety or chain-of-custody reasons, destroyed. These restrictions do not limit any non-waivable rights under applicable law.
13. Prohibited Transactions and Uses
You may not:
- purchase or use a product for human, veterinary, clinical, diagnostic, therapeutic, food, supplement, cosmetic, or household use
- use a product to affect the structure or function of a human or animal body
- request or rely on AKEM for dosing, administration, injection, ingestion, treatment, or personal-use advice
- use false identity, payment, eligibility, research, tax-exemption, or shipping information
- divert products to a prohibited market or person
- resell or redistribute products in a way that removes restrictions, obscures identity or traceability, or suggests human or veterinary use
- use the Site or products in violation of sanctions, export controls, controlled-substance laws, professional rules, institutional rules, or other applicable law; or
- use AKEM’s name, product, COA, images, or content to make an unapproved health, safety, efficacy, regulatory, or endorsement claim.
14. Intellectual Property
The Site, AKEM name and marks, page design, text, graphics, photographs, files, software, and other content are owned by or licensed to Doomwell, LLC and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to access the Site for lawful purchasing and internal reference. No other license is granted.
You may not reproduce, publish, sell, sublicense, create misleading derivative material from, or commercially exploit Site content without written authorization, except where applicable law expressly permits the activity.
15. Third-Party Services and Links
The Site may use or link to third-party payment processors, carriers, analytics services, maps, publications, databases, or websites. A link does not mean that AKEM controls or endorses the third party. Third-party services are governed by their own terms and privacy practices, and use of them is at your discretion.
16. Disclaimers
To the maximum extent permitted by law, the Site, content, and products are provided “as is” and “as available.” AKEM disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent those warranties may lawfully be disclaimed.
AKEM does not warrant that the Site will be uninterrupted or error-free; that third-party information is complete; that a product is suitable for a particular experiment; or that a product will produce a particular research result. The purchaser is responsible for experimental design, validation, controls, personnel, facilities, handling, and legal compliance.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.
17. Limitation of Liability
To the maximum extent permitted by law, Doomwell, LLC and its members, managers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising from or related to the Site, products, third-party services, or these Terms.
To the maximum extent permitted by law, AKEM’s aggregate liability arising from a product or order will not exceed the amount paid to AKEM for the product or order giving rise to the claim. These limitations do not apply where liability cannot lawfully be limited or excluded.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Doomwell, LLC and its members, managers, employees, contractors, and agents from third-party claims, damages, liabilities, penalties, and reasonable costs arising from your unlawful use of the Site or products, breach of these Terms, violation of another person’s rights, or prohibited transfer or use of a product.
19. Suspension and Termination
We may suspend or terminate an account, access, code, order, or relationship when reasonably necessary to protect the Site, enforce these Terms, respond to suspected misuse or fraud, comply with law, or manage legal or safety risk. Sections that by their nature should survive termination will survive, including restrictions, intellectual property, disclaimers, liability limits, indemnification, dispute provisions, and accrued payment obligations.
20. Governing Law and Venue

22. General Provisions
These Terms and the policies incorporated into them are the complete agreement between you and AKEM concerning the Site and orders, except for a separate written agreement signed by an authorized AKEM representative. If a provision is unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent. We may assign these Terms as part of a reorganization, financing, merger, acquisition, or transfer of the business. Neither party is responsible for delay caused by events beyond reasonable control, except for payment obligations.
23. Electronic Communications
You consent to receive order, account, policy, and transactional communications electronically. Marketing email or text messages require any consent mandated by applicable law and may be stopped using the method provided in the message. Electronic records and acknowledgments satisfy writing requirements to the extent permitted by law.
